Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Engram Kinetics platform, website, courses, and related services (collectively, the "Service") operated by Axiom Learning Systems LLC ("Company," "we," "us," or "our"), a Colorado limited liability company.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Account Registration

To access paid content, you must create an account. You agree to provide accurate, complete information and to keep your login credentials confidential. You are responsible for all activity under your account. You must be at least 18 years old to create an account and purchase content.

2. Description of the Service

Engram Kinetics provides online educational content designed to help candidates prepare for the ACSM Certified Exercise Physiologist (ACSM-EP) certification exam. The Service includes, but is not limited to, interactive lessons, decision-training scenarios ("Engrams"), case studies, masterclasses, quick decision drills, reference sheets, and mock exams.

The Service is an educational preparation tool. It is not affiliated with, endorsed by, or officially associated with the American College of Sports Medicine (ACSM). ACSM-EP is a registered certification of the American College of Sports Medicine. Completion of our program does not guarantee passing the ACSM-EP exam.

3. Purchases and Payment

All purchases are processed securely through our third-party payment processor (Stripe). By making a purchase, you agree to pay the price displayed at the time of purchase. All prices are in US Dollars (USD).

The current offering is a one-time payment for lifetime access to the complete program, including all content available at the time of purchase and all future content added to the platform. "Lifetime access" means for the operational lifetime of the platform — as long as Engram Kinetics is available online.

We reserve the right to change pricing at any time. Price changes will not affect existing purchases.

4. Refund Policy

We offer a 7-day refund policy from the date of purchase. If you are not satisfied with the program for any reason, contact us at admin@engramkinetics.com within 7 days of purchase for a full refund.

After the 7-day period, all sales are final. No partial refunds will be issued.

5. License and Access

Upon purchase, we grant you a non-exclusive, non-transferable, personal license to access and use the Service for your own educational purposes. This license does not include the right to:

• Share, distribute, or resell your account or any content from the Service
• Copy, reproduce, or redistribute course materials in any form
• Use automated tools (bots, scrapers) to extract content from the platform
• Share login credentials with any other person
• Use the content to create a competing product or service

Violation of these terms may result in immediate account termination without refund.

6. Intellectual Property

All content on the Service — including text, graphics, interactive scenarios, code, design, and branding — is the intellectual property of Axiom Learning Systems LLC or its licensors. All rights are reserved.

Clinical scenarios and educational content are original creations. The Service does not reproduce copyrighted material from ACSM publications or any other source. Clinical thresholds and standard physiological values referenced in the content are factual data in the public domain.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• The content is free of inaccuracies (though we make every reasonable effort to ensure accuracy)
• Use of the Service will result in passing the ACSM-EP exam or any other certification

8. Limitation of Liability

To the maximum extent permitted by Colorado law, Axiom Learning Systems LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid for access to the Service.

9. Medical and Professional Disclaimer

The content provided through the Service is for educational and exam preparation purposes only. It does not constitute medical advice, clinical guidance, or professional recommendations. Clinical scenarios presented in the Service are fictional and designed for educational purposes. Do not use the content of this Service to make real clinical decisions.

10. Account Termination

We reserve the right to suspend or terminate your account at our sole discretion if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that could harm other users or the platform. In the event of termination for cause, no refund will be issued.

11. Third-Party Services

The Service is hosted on the LearnWorlds platform and uses Stripe for payment processing. Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify registered users by email. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to conflict-of-law provisions. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Douglas County, Colorado.
